These Terms of Sale apply to every order placed with Dogwood Cabinets, LLC (“Dogwood,” “we,” “us”), whether placed through this website, by phone, by email or by any other method. By placing an order you (“Buyer,” “you”) agree to these terms on behalf of your business. Use of the website itself is also governed by our Terms of Use and Privacy Policy.
These Terms of Sale control over any purchase order, quote request or other document you send us. Additional or different terms in your documents do not apply unless Dogwood agrees to them in writing.
1. Trade accounts
Dogwood sells only to trade businesses — licensed contractors, designers, kitchen & bath dealers and retailers. Ordering requires an approved trade account. Accounts require an application and approval, and Dogwood may deny an application at its discretion. Dogwood may suspend or close an account at any time, including for nonpayment, inaccurate application information, misuse of the website or trade pricing, or conduct that harms Dogwood or its customers. Suspending or closing an account does not cancel amounts already owed.
2. Products
- Standard finish is White Shaker. Custom finishes are available in any Sherwin-Williams or Benjamin Moore paint color, or in stain.
- Cabinets ship fully assembled.
- You are responsible for confirming SKUs, quantities, dimensions, finish and color codes before placing an order.
- Dogwood does not measure job sites, design layouts or check that an order fits the space. The Buyer is solely responsible for measurements, layouts and the accuracy of every order. Products ordered to incorrect measurements or layouts are not defective and are not returnable.
- Wood is a natural material. Grain, color, texture and sheen vary from piece to piece and from samples, photos and on-screen colors, and painted or stained finishes can differ from paint-store chips. These natural variations are not defects.
3. Orders and acceptance
An order is an offer to purchase. An order is accepted, and becomes binding, when Dogwood sends your order confirmation — after your card or ACH payment is accepted by our payment processor, or when a Net terms order is approved.
Dogwood may decline or cancel any order, including orders with pricing or product errors, orders from accounts that are not in good standing, or orders that exceed an approved credit limit. If we cancel an order you have paid for, we will refund the amount paid for that order.
4. Pricing
Trade pricing is shown only to approved accounts and depends on the account’s pricing level. Prices are in U.S. dollars and are charged as shown at the time the order is placed. Freight, sales tax and any credit card surcharge are shown separately. Prices may change at any time without notice; changes do not affect orders already accepted. If an order was priced in error, Dogwood may correct the price and ask you to confirm the order at the correct price, or cancel it and refund any amount paid.
5. Lead time
Our current lead time is 2–4 weeks. Lead times and requested ship, delivery and pickup dates are estimates, not guarantees, and may vary with order size, custom finishes, material availability and carrier schedules. Dogwood is not liable for delays in production, shipping or delivery, including delays caused by carriers, suppliers, weather or other events outside our control, and a delay does not entitle the Buyer to cancel an order once production has begun.
6. Payment
- Payment is accepted by credit card, debit card or ACH bank transfer, processed by Stripe, a PCI-certified payment processor. Card and bank details are entered directly with Stripe and are never sent to or stored by Dogwood.
- A 3% surcharge applies to credit card payments only. There is no surcharge for debit cards or ACH. Any surcharge is shown before you place your order.
- ACH payments can take several business days to clear. Production begins once our payment processor accepts the payment, including an ACH transfer that is still clearing. If an ACH payment is returned, Dogwood will stop work and contact you.
- If a payment is declined, reversed or returned, Dogwood may hold or cancel the order until payment is received.
7. Net terms
Approved accounts may be offered Net payment terms with a credit limit set by Dogwood. Net terms require a completed Dogwood Business Credit Application, including bank and trade references and the personal guarantee contained in that application. Terms are available only while the account is in good standing:
- Net terms invoices are issued when the order ships or is picked up. Payment is due within the account's terms period (for example, 30 days) counted from the ship or pickup date.
- Orders on terms may not exceed the account's available credit limit. Orders that haven't shipped yet count against the credit limit.
- Terms are paused while any invoice is overdue. Orders placed while terms are paused must be paid by card or ACH.
- Dogwood may change or withdraw terms or credit limits at any time.
- Any invoice balance that remains unpaid 30 days or more after its due date accrues interest at 1.5% per month (simple interest, not compounded) on the past-due amount until paid.
- If an account is past due, Dogwood may refer it to a collection agency or an attorney. The Buyer agrees to pay the costs of collection, including reasonable attorney's fees, to the extent permitted by law.
8. Sales tax
Georgia sales tax at 7% is charged on orders unless an approved resale certificate (Georgia Form ST-5 or an equivalent certificate) is on file for your account. When a sale is taxable, freight charges are also taxable. You are responsible for keeping your certificate current and for notifying us if your exemption status changes.
9. Shipping, pickup and delivery
Orders ship by LTL freight with curbside delivery, or can be picked up by appointment at our facility in Tunnel Hill, Georgia. At checkout you choose delivery or pickup, request a delivery date or pickup appointment and add delivery instructions, and you can update the date and instructions from your order history until the order ships or is picked up. Freight is quoted at checkout, or by Dogwood after the order when a live rate is not available. Inside delivery is available by request. Inspection requirements, claim deadlines and delivery charges are described in our Shipping & Damage Claims policy, which is part of these Terms of Sale.
Risk of loss passes to the Buyer when the order is delivered to the delivery address, or when it is loaded for a pickup order. Title passes to the Buyer when the order has been paid in full.
10. Changes and cancellations
Orders may be changed or cancelled at no charge only until production begins. Once production has started, an order cannot be cancelled or changed. Production begins once payment is accepted, or once a Net terms order is confirmed, so contact us right away if you need a change.
11. Returns
Every Dogwood product is made to order. Orders are not returnable or refundable, except for damaged, missing or incorrect items reported under our Shipping & Damage Claims policy. Installed products are not eligible for return or free replacement.
12. Warranty
5-year limited warranty. Dogwood warrants to the Buyer that its cabinets will be free from defects in materials and workmanship under normal use for five (5) years from the delivery date. If a covered defect is reported during the warranty period, Dogwood will, at its option, repair or replace the affected product or credit its purchase price.
This warranty does not cover damage from improper installation, handling, storage or modification; water, moisture, humidity, heat or chemical exposure; misuse, abuse or accidents; normal wear; natural variation in wood grain, color or finish, or changes from light exposure over time; or labor, installation, removal, reinstallation or shipping costs. Hardware, accessories and lighting from other manufacturers are covered only by those manufacturers’ warranties. To make a claim, contact Dogwood with your order number, photos and a description of the defect.
Except for the limited warranty above, Dogwood disclaims all other warranties, express or implied, including the implied warranties of merchantability and fitness for a particular purpose, to the fullest extent permitted by law.
13. Installation
Dogwood supplies cabinets and does not install them. Installation is the responsibility of the Buyer and its installers. Do not install damaged items — installed products are not eligible for free replacement.
14. Limitation of liability
To the fullest extent permitted by law, Dogwood’s total liability for any claim arising out of or relating to an order or its products is limited to the amount the Buyer paid for the specific products giving rise to the claim. Dogwood is not liable for any indirect, incidental, special, consequential or punitive damages, including labor, installation or removal costs, project delays, lost profits or loss of business, even if advised that such damages were possible.
15. Governing law and disputes
These Terms of Sale are governed by the laws of the State of Georgia, without regard to its conflict-of-law rules. Any dispute arising out of or relating to an order or these terms will be brought only in the state or federal courts serving Whitfield County, Georgia, and the Buyer consents to the jurisdiction of those courts.
16. Changes to these terms
We may update these Terms of Sale from time to time. The version posted on this page when you place an order applies to that order. The “Last updated” date above shows when the terms last changed.
